Form 5472 is a tax form required by the Internal Revenue Service (IRS) for certain U.S. companies that have foreign owners or conduct transactions with related foreign parties.

The purpose of Form 5472 is to help the IRS track financial activities between a U.S. business and its foreign owners or affiliates. This helps ensure companies properly report income and comply with U.S. tax laws.

The form is generally required for:

  • U.S. corporations that are at least 25% foreign-owned
  • foreign-owned U.S. single-member LLCs
  • companies that have reportable transactions with foreign related parties

Reportable transactions can include payments, loans, royalties, rents, and other financial exchanges between the company and its foreign owners or affiliates.

Form 5472 is usually filed with the company’s annual tax return. Failing to file the form, filing it late, or submitting incomplete information can lead to significant penalties, often starting at $25,000.

For businesses with foreign ownership or international transactions, properly filing Form 5472 is an important part of remaining compliant with U.S. tax regulations.
